Diginex Limited (NASDAQ: DGNX), a provider of sustainability regulatory technology, has completed the all-share acquisition of Matter DK ApS (Matter), a Denmark-based ESG data company supplying sustainability data, analytics and insights to the investment sector. The transaction closed on 3 October 2025.
Matter, headquartered in Copenhagen, offers portfolio-level sustainability analysis tools, API integrations used in platforms such as Nasdaq eVestment, and detailed ESG datasets aligned with the UN Sustainable Development Goals and international regulatory frameworks.
The acquisition, first outlined in a memorandum of understanding in May and formalised in August, values Matter’s equity at US$13 million. The consideration was settled through the issue of 1,241,496 Diginex ordinary shares, of which 1,055,272 were issued at closing and the remainder will be issued after 12 months. The shares are subject to an 18-month lock-up period.
Diginex also allocated 238,752 shares for Matter’s senior management, vesting over two years, and issued 62,074 shares to an unrelated party as an introductory fee.

Matter’s founding management team will continue to lead the company, while Nasdaq remains a stakeholder under the new ownership structure.
