Diginex Limited (NASDAQ: DGNX), a global Sustainability RegTech and data-management firm, has signed a non-binding memorandum of understanding to acquire Plan A, one of Europe’s leading AI-driven carbon accounting and decarbonisation platforms. The proposed all-share deal would create an integrated ESG and carbon-management provider aimed at helping companies measure, manage and reduce their environmental impact amid tightening global reporting rules.
The agreement comes as demand for carbon-management software accelerates under new regulatory frameworks such as the EU’s Corporate Sustainability Reporting Directive (CSRD) and the International Sustainability Standards Board (ISSB). The market, valued at about USD 16 billion in 2025, is forecast to double to USD 32 billion by 2030 and surpass USD 100 billion by 2032, driven by growing requirements for Scope 3 emissions transparency and AI-enabled decarbonisation planning.
The planned acquisition follows Diginex’s recent expansion, including the purchase of Matter DK ApS for enhanced ESG analytics and new advisory partnerships. The combined company expects to accelerate revenue growth from 2026 through cross-selling opportunities and a strengthened presence across Europe and Asia-Pacific.

Founded in 2017 and based in Berlin, Plan A provides a certified SaaS platform aligned with the GHG Protocol and the Science Based Targets initiative. Its AI solutions, including Gaia AI, support emissions calculations across Scopes 1, 2 and 3 and are used by more than 1,500 clients, including BMW, Deutsche Bank, Visa, Trivago and Chloé.
The integrated platform will offer automated data collection, detailed emissions dashboards and audit-ready reporting, while bolstering Diginex’s capabilities in supply-chain risk assessment, worker-voice monitoring through diginexAPPRISE and AI-driven advisory services. The companies say the combined suite will enable deeper decarbonisation across corporate operations and value chains.
