CaixaBank place €1bn green bond following record €4.5bn order book

Spanish financial institution CaixaBank has closed its first ESG-labelled debt issuance of 2026, placing a €1,000 million five-year senior preferred green bond supported by record investor demand.

Peak demand for the transaction exceeded €4,500 million, oversubscribing the final issue size by more than 4.5 times. The placement represents the largest order book achieved in CaixaBank’s history for a euro-denominated senior preferred green bond.

Capitalising on favorable market conditions following the US midterm elections, the strong order book enabled CaixaBank to tighten pricing to 70 basis points over mid-swaps, 30 basis points inside initial price guidance of the mid-swaps plus 100 basis points area. The final pricing priced near estimated fair value, eliminating the need for a material new issue premium. The annual coupon was set at 3.875 per cent.

The issuance marks the bank’s first senior preferred green bond issued with single-A credit ratings across all major agencies—rated A2 by Moody’s, A+ by S&P, and A+ by Fitch—following consecutive credit rating upgrades since 2022.

Key financial, capital market, and ESG metrics of the issuance include:

  • Tranche structure: €1,000 million five-year senior preferred green bond maturing in 2031, with a coupon of 3.875 per cent and spread of MS+70 bps.
  • Order book reach: Peak investor demand surpassed €4,500 million from international institutional asset managers.
  • Capital purpose: Advances execution of CaixaBank’s 2026 funding plan, manages upcoming debt maturities, and expands its global fixed-income investor base.
  • Green portfolio scale: Proceeds will fund eligible green projects within CaixaBank’s sustainable asset portfolio, which expanded 33 per cent year-on-year to reach €17,900 million by late 2025 across renewable energy, energy efficiency, green buildings, and clean transport.
  • Corporate target alignment: Supports CaixaBank’s 2025–2027 Sustainability Plan targeting €100 billion in mobilised sustainable finance, of which €81.096 billion (over 81 per cent) was achieved by mid-2026.
  • Syndicate managers: BNP Paribas, CaixaBank, Goldman Sachs Bank Europe SE, HSBC, Mediobanca, and Natixis served as joint lead managers.

CaixaBank confirmed that net proceeds will be allocated strictly under its Sustainable Funding Framework, which aligns with ICMA Green Bond Principles and partial criteria under the EU Taxonomy for climate change mitigation.
