MAIRE has raised €185 million (USD 218 million) through its third sustainability-linked Schuldschein loan, a private placement governed by German law. The senior unsecured facility was placed with a diverse group of national and international financial institutions across Europe, Asia, and the Middle East, with additional support from Cassa Depositi e Prestiti.
The loan is structured in two tranches with maturities of three and five years. Both tranches carry variable interest rates, with margins of 1.50% and 1.70% over the 6-month Euribor, respectively. In a move that aligns the company’s financing with its environmental goals, the pricing of the loan is directly linked to the achievement of specific decarbonisation targets set out in MAIRE’s Sustainability-Linked Financing Framework, adopted in October 2025.
Proceeds from the issuance are earmarked for general corporate purposes, with a primary focus on the early repayment of existing credit facilities. Reflecting the flexibility of the deal, MAIRE maintains an option to increase the total loan amount to €300 million by the end of July to support its ongoing strategic priorities.
“We are delighted to announce the successful placement of this Sustainability-linked Schuldschein Loan, which will enable us to further optimise our financial structure,” said Mariano Avanzi, CFO of MAIRE. “After the issuance of the Sustainability-linked Bond a few months ago, this continued interest underscores the market’s confidence in MAIRE’s financial soundness and commitment to sustainable growth.”
The transaction was arranged by a consortium including BNP Paribas, BPER, Commerzbank, Crédit Agricole CIB, Intesa Sanpaolo, and UniCredit. Crédit Agricole CIB served as the sustainability coordinator, while UniCredit acted as the paying agent.
