Nasdaq-listed ESG and compliance solutions provider Diginex Limited has signed an amended and restated sale and purchase agreement to acquire Singapore-headquartered customer engagement firm Resulticks Global Companies Pte. Limited in an all-share transaction valued at $1.05bn.
The revised agreement sets out definitive terms for the combination, under which Diginex will acquire 100 per cent of Resulticks’ equity through the issuance of 600 million new ordinary shares priced at $1.75 per share. Resulticks, which provides real-time, AI-powered engagement platforms for Fortune 1,000 brands, reported revenues of $150m and a profit after tax of $17m for FY2025, alongside a compound annual growth rate exceeding 60 per cent since the pandemic.
Upon completion, Resulticks’ shareholders and incoming investors will hold approximately 86 per cent of the enlarged group’s share capital, triggering a change of control. Redickaa Subrammanian, Co-Founder and Chief Executive Officer of Resulticks, will take over as Chief Executive Officer of the combined entity, while Miles Pelham will step down as Chairman as part of a broader board reconstitution.
Highlighting the strategic rationale, Miles Pelham, Chairman of Diginex, stated that when bringing Diginex to Nasdaq, the ambition was always to build a listed platform capable of real scale. He noted that the transaction represented that ambition taking shape, bringing proven technology and an enterprise customer base across three continents. Pointing out that 76 per cent of consumers would cease buying from firms that neglected ESG practices, he added that integration with Resulticks marked a natural progression for the company.
Redickaa Subrammanian, Co-Founder of Resulticks, noted that the combination brought together two capabilities of growing importance for every enterprise. She explained that Diginex enabled organisations to capture trusted ESG and regulatory data, while Resulticks transformed that data into real-time engagement through its agentic AI platform. She added that together they were creating a global, trust-led enterprise intelligence platform to help organisations turn data into trusted relationships and sustainable growth.
The transaction combines Diginex’s European regulatory footprint with Resulticks’ market presence across North America, Asia, and the Middle East. Financial backing includes $70m in secured private funding commitments to support group operations and integration. The deal remains subject to Diginex shareholder approval, regulatory clearances, and Nasdaq initial listing approval under Rule 5110.
