osapiens acquires Nasdaq Metrio platform to strengthen carbon accounting capabilities

Artificial intelligence compliance platform osapiens has finalised the acquisition of the Nasdaq Metrio platform and its associated customer base, strengthening its carbon accounting and non-financial reporting capabilities while broadening its commercial reach in North America.

The transaction integrates Nasdaq Metrio’s corporate disclosure and carbon management tools directly into the osapiens HUB. The platform brings established coverage for global reporting standards—including the Global Reporting Initiative, the International Financial Reporting Standards, and California state climate regulations—backed by audit-grade data architecture. By bringing Metrio customers into its unified ecosystem, osapiens aims to eliminate repetitive data collection across supply chain compliance, product traceability, and ESG disclosures through automated workflows.

Financial terms were not disclosed for the deal, which accelerates the growth strategy of osapiens following its transition to unicorn status after a funding round led by Decarbonization Partners—a joint venture between BlackRock and Temasek—alongside Goldman Sachs. The acquired business provides an established North American client footprint, supporting osapiens as it expands its operations across the United States.

Executives from both companies highlighted the strategic alignment of the agreement. Matthias Jungblut, Co-Chief Executive Officer of osapiens, noted that the integration deepens core functionalities for over 2,500 existing corporate clients while accelerating US market entry.

Michael Bartels, Senior Vice President at Nasdaq, stated that the divestment allows Nasdaq to sharpen its focus on core investor relations and governance solutions, whilst ensuring Metrio clients transition to a dedicated sustainability platform.

Evercore served as financial advisor to Nasdaq, with Hogan Lovells Cadwalader International and Skadden, Arps, Slate, Meagher & Flom providing legal counsel to osapiens and Nasdaq respectively.
